Regional 1 Airlines (TSH, Calgary) and Air Georgian (ZX, Toronto Pearson) have signed a Memorandum of Understanding to merge under one management team through the creation of a parent holding company. An anticipated closing date of September 30, 2013 has been set pending regulatory approval. According to a press statement, Air Georgian will continue to focus primarily on its CPA relationship with Air Canada (AC, Montréal Trudeau) for which it currently operates Beech 1900D aircraft under the brand name, "Air Canada Express". R1 will focus on expanding its domestic presence, specializing in serving the natural resource sector and will further expand upon its existing international operations which focus on providing ACMI contracts in remote regions, as well as continuing to support the United Nations World Food Programme and other peacekeeping and humanitarian programs. The merger will also create the world’s largest private fleet of Dash 8 and CRJ series aircraft, over USD100million in spare parts and will have at its disposal domestic maintenance bases in Halifax, Montréal Trudeau, Kingston, ON, Toronto Pearson, Calgary and Vancouver Int'l. International operations will be supported through Avmax maintenance bases in Great Falls, Jacksonville Int'l, FL, Nairobi Wilson and N'Djamena in Africa. This merger does not impact the current structure or operations of any other subsidiary within AvMax Group Inc.
