The Peruvian competition watchdog (Instituto Nacional de Defensa de la Competencia y de la Protección de la Propiedad Intelectual - Indecopi) has authorised, with conditions, the acquisition of SKY Airline (Chile) (H2, Santiago de Chile) by Abra Group, according to a press release.
Following more in-depth research into the proposed transaction and the impact it could have on competition on the Lima International-Miami International and Cusco-Miami routes, Indecopi said that Abra Group's acquisition of the low-cost carrier will not create any significant restriction in the market.
However, the authority said that the non-compete and non-solicitation clauses included in the transaction could have an impact on competition. Thus, to authorise the purchase, Indecopi demanded that the clauses be limited in their duration and reach. Abra Group will have to prove that the necessary adjustments are incorporated in the final version of the agreement.
Abra and SKY welcomed the decision, describing it as an important milestone towards completing the proposed transaction. They said they are now focused on completing the remaining steps needed to formalise and execute the agreement, adding that the transaction is expected to strengthen connectivity in Latin America, expand travel options, and contribute to greater regional integration.
The group has received the approval from competition authorities in Chile, Brazil, and Peru. Abra, which also owns avianca airlines, GOL Linhas Aéreas Inteligentes, Wamos Air, and NG Servicios Aéreos, expects to complete SKY’s acquisition before the end of 2026.
In November 2025, Abra Group announced it had reached an agreement in principle to acquire majority ownership of SKY Airline. The deal, structured as a share swap, will make the Paulmann Mast family (SKY’s current owners) minority shareholders in Abra.
